BE IT RESOLVED BY THE MAYOR AND COMMON COUNCIL OF THE CITY
OF SAN BERNARDINO AS FOLLOWS:
SECTION 1. That the City Manager is authorized to execute Amendment No. 2 to
Agreement for Professional Services with Transtech Engineers, Inc. to provide Program
Management Services for the Santa Fe Depot Parking Structure Project (GB04-19) (attached and

incorporated herein as Exhibit "A").
12 SECTION 2. This Amendment No. 2 shall not take effect or become operative until fully
13 signed and executed by the parties and no party shall be obligated hereunder until the time of
14 such full execution. No oral agreements, amendments, modifications or waivers are intended or
15 authorized and shall not be implied from any act or course of conduct of any party.

AMENDMENT NO.2 TO AGREEMENT FOR SERVICES
This Amendment No.2 to Agreement for Program Management Services by and between
the City of San Bernardino (Agency) and Transtech Engineers, Inc. (Consultant), is made and
entered into effective as of the lith day of Seotember, 200S by and between the Agency and the
Consultant.
WITNESSETH:
A. WHEREAS, on November 7, 2005 the Mayor and Common Council of Agency
Adopted Resolution No. 2005-370 approving an Agreement for Services with Transtech
Engineers, Inc. to provide program management services for the Santa Fe Depot Parking
Structure Project (GB04-19); and,
B. WHEREAS, on December 17, 2007 the Mayor and Common Council of Agency
Adopted Resolution No. 2007-477 approving Amendment No.1 to Agreement for Services with
Transtech Engineers, Inc. to provide program management services for the Santa Fe Depot
Parking Structure Project (GB04-19); and,
C. WHEREAS, City is in need of additional services for an Air Quality Analysis
and Report for the Santa Fe Depot Parking Structure Project (GB04-19) as required by Caltrans,
and has requested that Consultant provide a proposal for such services; and,
D. WHEREAS, Consultant has provided a proposal which has been found to be the
most advantageous way to obtain said additional services; and
E. WHEREAS, said Agreement for Services, as amended, will terminate on
November 7, 200S unless extended as provided in said Agreement; and
F. WHEREAS, the services of Consultant will be needed past November 7, 200S;
and
G. WHEREAS, Agency concurs that the additional services proposed by the
Consultant were not included in said Agreement as amended and are necessary for proper
completion of the project.
NOW THEREFORE, the parties hereto agree as follows:
I. Section 1 of said Agreement for Services is amended to extend the term until June 30, 2009
unless terminated earlier as provided in said Agreement as Amended.
2. Section 3 of said Agreement for Services is amended to add the following: Consultant shall
furnish additional professional engineering services for management, coordination and
cornpletion of an Air Quality Analysis and Report in accordance with the attached proposal

Additional Parking Structure Project In the City of San BernardIno
Dear Mr. Ackerman:
Mestre Greve Associates is pleased to submit this proposal to prepare the air quality analysis
for the Metrolink Parking Structure in the City of San Bernardino. The project proposes a five-
level parking structure to serve the Metrolink Station at the Santa Fe Depot location, which
will include construction of reinforced concrete, 11,354 square foot parking structure
accommodating approximately 350 vehicles. The project includes lighting, fire safety,
elevators. and ADA access facilities, on-site landscaping, concrete sidewalks. and driveway
access to and from Metrolink: Station at 1170 West 3M Street.
Mestre Greve Associates. a professional engineering firm incorporated in 1981. is committed
to improving quality of life by providing its clients with the means to ensure. that air quality
levels and noise are within acceptable community limits. We have completed several air
quality assessments for Caltrans. The air quality assessment requirements have changed
substantially in the last few years. A fmn that is not up to date with the Caltrans requirements
will waste time and money in preparing the necessary documents. Mestre Greve Associates
has been very active in recent years preparing air quality studies for Caltrans projects. Recent
projects include the 1-405 HOV Lane Addition through the Sepulveda Pass. the 1-405ISR-101
Interchange Modification, and the 1-215/SR-74 Interchange.
The project will be utilizing Federal Aid funds, and therefore, are subject to the Transportation
Conformity Requirements of the Federal Clean Air Act as well as NEPA and CEQA. The Air
Quality Technical Report will be prepared to satisfy these requirements per Caltrans and
FHW A guidance. In addition to the Air Quality Technical Report, we will prepare and submit
the documentation required to obtain a detennination that the project is not a Project of Air
~ty Concern (POAQC) from the SCAG Transportation Working Group (TCWG) and the
documentation required for the Project Level Conformity DetenniIlation as described below.

Tuk 1- SCAG TCWG POAQC Determluation
Based on FHWAlBPA guidance on Particulate Matter (PM1o and PM2,,) bot-spot impacts. it
appears that the project is not considered a POAQC and will not require an analysis of
potential PM hot-spot impacts. This determination must be confinned by SCAG's TCWG.
The TCWG has developed a form that must be completed with applicable project data.
Projects are considered at their monthly meeting (fourth Tuesday of each month) and
determinations are made. We will prepare and submit the required form to the TCWG and be
available via telephone during their meeting to respond to any questions. Our costs, presented
below assume that the project will be found to not be a POAQC. If this is not confIrmed by the
TCWG we will discuss with you the best way to proceed.
Tuk 2 - AIr QuIlty Techn..... Report
An air quality technical report will be prepared with the following content. The existing air
environment will be described in terms of meteorology. local topography affecting pollutant
dispersion. and ambient air monitoring data. A summary of current air management efforts
and regulations. which may be related to the proposed project. will be identified. Sensitive
receptor areas within the project vicinity will be identified. As a siSJ"'li,."tion project. the
project is exempt from the Regional Transportation Conformity Requirements but is still
subject to the analysis of local "hot-spot" impacts. The potential for the project to result in a
local CO hot-spot impact will be addressed per the Caltrans CO Protocol. The fact that the
project is not a POAQC and will not result in a local PM hot-spot impact will be discussed.
Mobile Source Air Toxic (MSA T) impacts will be discussed based on the guidance published
by the FHW A at http://www.tbwa.dot.gov/environmentlairtoxiclO20306guidmem.htm.
Potential impacts due to Diesel Particulate Matter and Naturally Occurring Asbestos will be
discussed as well.
Task 3 - AIr QualIty Conformity D......mentation
As part of the SAFETY-LU NEPA delegation. Caltrans must request an air quality conformity
determination from the FHW A separate from the environmental review process. The FHW A
has prepared a checklist for Section 6004 projects that will be completed and submitted with
the air quality technical report. We will complete the checklist and provide the necessary
supporting documentation.

Costs

We propose to pJep8re air quality technical study and conformity documentation for the
Metrolink Parking Structure project on a time and materials basis with a cost not to exceed
$12,348. Our costs are broken out by task in the table below. Our hourly rates are $180 for
Principals, $]60 for Associates. $90 for Staff Engineers. and $65 for Technicians. Once we
receive the necessary materials and authorization to proceed we will turnaround the report in 2
to 3 weeks. The timing of the report will be slightly dependent on the meeting date of the
TCWG. Our cost assumes three revision cycles (i.e. submittal of three drafts and one final) for
the technical report and conformity docUIIICntation. Any additional revision cycles will be
billed on a time and materials basis.

Under subconlr8ct with P & 0 Consultantsl TCB-AECOM and Caltrans, MGA prepared
several air quality analyses for the Realignment of Southbound 1-405 Connector to
Northbound and Southbound US-101 project. This proposed highway Improvement project
required four build attematIves, and one no-bulld altamatlve to be analyzed. The initial report
analyzad and ldentlfted the atreeted environment, permanent Impac:ta, temporery Impacts,
cumulative Impacts and mitigation measuras of each of the live dealgn alternatives along the
proposed realignment altamatlves, the freeway ramps, and up to live InterMCllons In the
Immedlat8 study area for the project. The consultant recently met and worked with Caltrans'
Headquarters, FHWA and dlstrlct staff, and with the appropriate regulatory agencies to
resolve aN conformity and air quality planning 1ssU81.
